Effective Date: December 22, 2025
This License Agreement (“Agreement”) is a legal agreement between you (“Merchant”, “User”, or “You”) and Softhealer Technologies Pvt. Ltd. (“Developer”, “We”, “Us”) governing your use of the Product Discount application (“App”) available on the Clover platform.
By installing or using this App on a Clover point-of-sale system, you agree to be bound by the terms of this Agreement.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your internal business operations on authorized Clover devices.
2. App Description
The App provides product-wise discount functionality, allowing merchants to configure and apply discounts to selected products through their Clover POS system.
3. Restrictions
You may not:
- Modify, reverse engineer, decompile, or disassemble the App
- Resell, sublicense, or distribute the App
- Use the App for unlawful or unauthorized purposes
- Circumvent Clover platform restrictions or security mechanisms
4. Ownership
The App, including all related intellectual property rights, is owned exclusively by Softhealer Technologies Pvt. Ltd. This Agreement does not grant you ownership of the App.
5. Data & Privacy
- The App may access Clover data such as products, orders, pricing, and inventory only as required to provide discount functionality.
- We do not sell, rent, or misuse merchant data.
- All data handling complies with Clover developer policies and applicable data protection laws.
6. Fees & Payments
- The App may be offered as free or subscription-based, as described in the Clover App Market listing.
- All payments and billing are managed by Clover.
- Fees are non-refundable except where required by applicable law.
7. Updates & Changes
We reserve the right to:
- Update or modify the App to improve performance, security, or compliance
- Add, modify, or remove features
- Discontinue the App with reasonable notice where feasible
8. Disclaimer of Warranties
The App is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied. We do not warrant that the App will be uninterrupted, error-free, or meet all business requirements.
9. Limitation of Liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the amount paid by you for the App during the twelve (12) months preceding the claim
10. Termination
This Agreement will terminate automatically if you breach any of its terms. Upon termination, you must immediately stop using and uninstall the App.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, State of Gujarat, without regard to conflict of law principles.
