This End User License Agreement and Terms of Service (the "Agreement") is a legal agreement between you ("User," "you," or "your"), the end user, and Softhealer Technologies (or its affiliates, "we," "us," or "our"), the developer and provider of the Inventory Name Restriction app (the "App") for the Clover platform. By installing, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.
1. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the App on your Clover merchant account for internal business purposes only.
- Monitor, restrict, and manage inventory names, categories, modifiers, and tags as described in the App's features (e.g., real-time scanning, auto-replacement, and dashboard cleanup).
You may not: (i) reverse engineer, decompile, or disassemble the App; (ii) sublicense, rent, or lease the App; (iii) use the App for any illegal or unauthorized purpose; or (iv) remove any proprietary notices.
2. Your Responsibilities
- Compliance with Clover: The App integrates with Clover's APIs and services. You must maintain a valid Clover merchant account and comply with Clover's terms, privacy policy, and developer guidelines.
- Data Usage: The App scans your inventory data (items, categories, modifiers, tags) for restricted keywords. Data is processed locally where possible and synced via Firebase for cloud persistence across devices. You retain ownership of your data; we do not sell or share it except as needed for App functionality or as required by law.
- Restricted Content: You are responsible for configuring restricted lists and replacements accurately. We are not liable for business decisions based on App outputs (e.g., auto-deletions or renames).
3. Fees and Payment
The App may be offered as a one-time purchase, subscription, or freemium model via Clover's App Market. Fees are non-refundable except as stated in Clover's policies. We may update pricing with notice.
4. Intellectual Property
The App, including all features (e.g., real-time monitoring, dashboard, Firebase integration), code, and documentation, is owned by us or our licensors. Your feedback may be used to improve the App without compensation.
5. Warranty Disclaimer
The App is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted service, error-free operation, or compatibility with future Clover updates. Backup your inventory data before using cleanup features.
6. Limitation of Liability
To the maximum extent permitted by law, our total liability shall not exceed fees paid by you in the prior 12 months. We are not liable for indirect, consequential, or punitive damages (e.g., lost profits, data loss from auto-cleanup). The App is a tool for compliance assistance, not a substitute for professional advice.
7. Termination
This Agreement terminates if you violate it or stop using Clover. Upon termination, you must uninstall the App. Sections 2, 4–10 survive termination.
8. Privacy
We respect your privacy. Personal data is handled per our Privacy Policy (available at [insert link, e.g., softhealer.com/privacy]) and Clover's policies. Firebase usage complies with Google's terms.
9. Governing Law and Disputes
This Agreement is governed by the laws of Gujarat, India, without regard to conflict of laws. Disputes shall be resolved exclusively in the courts of Rajkot, Gujarat. You waive jury trials and class actions.
10. Changes and Contact
We may update this Agreement with notice via the App or Clover. Continued use constitutes acceptance. Questions?
